Terms of Service
Terms governing pro-foru.com, orders, accounts, programs, advertising, and Partner Products
Effective date: July 31, 2026
1. Acceptance and Eligibility
These Terms govern pro-foru.com, related services, accounts, orders, programs, and content. By accessing or using the site, creating an account, submitting or placing an order, completing a purchase, or otherwise affirmatively accepting these Terms, you acknowledge that you had an opportunity to review and agree to these Terms and the policies incorporated by reference. You must be at least 18 or the age of legal majority and have authority to enter the transaction.
2. PRO-FOR U’s Role and Product Categories
PRO-FOR U operates commerce channels and may provide merchandising, advertising, checkout, payment coordination, customer service, fulfillment coordination, returns administration, rewards, and education-support administration.
“PRO-FOR U Products” are products for which PRO-FOR U is expressly identified as the brand owner, manufacturer, importer, distributor, or warrantor.
“Partner Products” are independently owned products supplied by an authorized brand, manufacturer, importer, distributor, or other product provider.
For Partner Products, the responsible product provider retains responsibility for product design, manufacture, assembly, testing, inspection, quality, labeling, warnings, instructions, certifications, regulatory compliance, product-specific claims, warranties, recalls, safety, and intellectual-property clearance. PRO-FOR U does not become the manufacturer, designer, engineer, certifier, warrantor, or owner merely by displaying, advertising, processing payment for, fulfilling, or supporting a Partner Product. PRO-FOR U remains responsible for its own statements and conduct and for non-waivable duties imposed by law.
3. Brand Ownership and Intellectual Property
Education Support Partner Program
PRO-FOR U may offer education-exclusive pricing and may direct a stated portion of qualifying sales to eligible U.S. schools, PTA/PTO organizations, school foundations, or qualified nonprofit education organizations. Unless specifically stated otherwise, participating education organizations do not sell products, process payments, provide product warranties, or assume product liability merely by sharing approved program information or an education code.
Eligibility, qualifying sales, donation percentages, timing, exclusions, reporting, discount use, and recipient requirements are governed by the applicable program terms. Education benefits generally are not retroactive and may not be combined unless expressly stated. Participation does not create an endorsement, agency, commission arrangement, or obligation to purchase.
Authorized Listing Partner and Brand Cooperation Program
Brands, manufacturers, importers, distributors, and other approved product providers may apply to list or supply products through PRO-FOR U. Application or public program information does not itself create a binding partnership. Participation requires approval and may require a separate written agreement covering authorization, product responsibility, intellectual property, truthful claims, certifications, insurance, customer service, settlements, reserves, returns, complaints, recalls, indemnification, and termination.
Unless a signed agreement states otherwise, each Authorized Listing Partner retains ownership of its products and intellectual property and remains responsible for product-specific legal and regulatory obligations. PRO-FOR U may charge disclosed listing, sales, marketing, payment, fulfillment, customer-service, or program fees and may retain reasonable reserves where authorized by the applicable agreement.
Each brand owns or controls its own trademarks, logos, product names, designs, packaging, images, videos, manuals, patents, copyrights, trade dress, technical information, and other product intellectual property. Such materials are used by PRO-FOR U only as authorized. No ownership transfers through a listing or sale. The PRO-FOR U corporate name, original website structure, original policy text, and original operational content are owned by or licensed to PRO-FOR U, excluding third-party and brand materials.
4. Product Information and Claims
Product information may be supplied by responsible brands or manufacturers. We seek accuracy but may correct errors. Colors, packaging, accessories, manuals, firmware, specifications, and appearance may change if the product remains materially as described. Customers must review compatibility, warnings, instructions, restrictions, and written warranty terms before use.
All advertising claims must be truthful, non-misleading, and supported by appropriate evidence. No statement by a creator, affiliate, reviewer, AI system, search engine, reseller, or other third party modifies the listing or creates a warranty unless adopted in a written statement issued by the authorized warrantor.
5. Orders and Acceptance
An order confirmation acknowledges receipt and is not final acceptance. We may reject, limit, or cancel an order for fraud, error, inventory, payment, address, export, safety, regulatory, reseller, or policy reasons. Captured payment for a canceled item will be refunded.
6. Pricing, Taxes, Promotions, and Errors
Prices and availability may change before acceptance. Applicable taxes and disclosed charges are calculated at checkout. Promotions and education benefits are governed by stated terms and generally are not retroactive. We may correct a material pricing or description error before fulfillment and offer cancellation or the corrected transaction where required.
7. Shipping, Returns, Refunds, and Rewards
The Shipping Policy, Refund & Return Policy, and Rewards Policy are incorporated. The more specific policy controls its subject, including return-shipping responsibility, inspection, refund adjustments, Reward Point reversals, and discretionary consideration of requests submitted after the standard return period, while these Terms control general legal, account, and dispute matters.
8. Warranties
A written product warranty, if any, is provided only by the warrantor identified in the product listing, packaging, manual, or warranty document. PRO-FOR U does not adopt a partner’s warranty or issue an additional warranty unless expressly stated in a written document issued by PRO-FOR U.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR AN EXPRESS WRITTEN WARRANTY OR A NON-WAIVABLE LEGAL WARRANTY, THE SITE, SERVICES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NOTHING DISCLAIMS OR LIMITS AN IMPLIED WARRANTY OR REMEDY THAT APPLICABLE LAW DOES NOT PERMIT TO BE DISCLAIMED OR LIMITED.
9. Safety and Proper Use
Follow all instructions, warnings, protective-equipment requirements, compatibility limits, laws, and recall notices. Stop use if a product appears unsafe or damaged. Misuse, unauthorized modification, improper installation, or use outside stated limits may cause injury and affect remedies where permitted by law. Report safety concerns promptly.
10. Accounts and Prohibited Conduct
Provide accurate information and protect credentials.
Do not use the site unlawfully, fraudulently, abusively, or to interfere with security or operations.
Do not introduce malicious code, impersonate others, manipulate reviews, misuse discounts or rewards, exploit errors, or submit false claims.
Do not access nonpublic areas, scrape in violation of technical restrictions or law, reverse engineer protected technology, or collect personal information without authorization.
We may investigate and reasonably restrict access for security, fraud, abuse, safety, or material violations.
11. Public Indexing, Search Engines, and AI Systems
PRO-FOR U may make public pages discoverable through sitemaps, feeds, structured data, metadata, APIs, or machine-readable instructions so search engines, social platforms, accessibility tools, and AI systems can identify and summarize public information. Limited automated access that respects law, published technical controls, attribution, security, and intellectual-property rights may be permitted.
No permission is granted to bypass access controls, collect personal or confidential information, create deceptive or infringing content, remove brand attribution, imply endorsement, train or operate a competing commercial service on protected content where consent is legally required, or use brand materials beyond the authorization of the respective owner. Robots.txt, metadata, contractual notices, and technical restrictions are part of the authorized-access conditions but do not waive legal rights.
12. Reviews, Creators, and User Content
You represent that submitted content is lawful, accurate, based on genuine experience where stated, and not misleading. Material connections, free products, payments, employment, family relationships, affiliate commissions, or other incentives must be clearly and conspicuously disclosed. You grant PRO-FOR U a nonexclusive, worldwide, royalty-free license to host, reproduce, adapt, publish, distribute, and display submitted content for site, support, advertising, and promotional purposes, subject to privacy law and any platform terms.
We may moderate, label, refuse, or remove content for legal, safety, authenticity, intellectual-property, privacy, relevance, or policy reasons. We do not promise to review every submission and will not suppress an honest review merely because it is negative.
13. Third-Party Services
Shopify, payment processors, carriers, fulfillment providers, brands, manufacturers, social platforms, advertising providers, AI providers, analytics providers, and other third parties may perform parts of the service under separate terms. PRO-FOR U is not responsible for their independent acts or omissions beyond the extent imposed by law or caused by PRO-FOR U’s own unlawful conduct.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO-FOR U AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, DATA, USE, REPUTATION, OR BUSINESS OPPORTUNITY, ARISING FROM THE SITE, SERVICES, CONTENT, OR A TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO-FOR U’S AGGREGATE LIABILITY ARISING FROM A CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID TO PRO-FOR U FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM OR (B) $100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED AND DO NOT REDUCE AN INDEPENDENT OBLIGATION OF A RESPONSIBLE BRAND, MANUFACTURER, IMPORTER, CARRIER, PAYMENT PROVIDER, OR OTHER THIRD PARTY.
15. Indemnification
To the extent permitted by law, you agree to defend and indemnify PRO-FOR U and its personnel from third-party claims arising from your unlawful use of the site, violation of these Terms, infringement caused by content you submit, unauthorized commercial exploitation of content, or misuse or unauthorized modification of a product. This consumer indemnity does not apply to claims caused by PRO-FOR U’s own unlawful conduct or where prohibited by law.
16. Partner Responsibility
Brands and product providers may be subject to separate agreements requiring accurate content, intellectual-property authorization, legal and regulatory compliance, insurance, complaint cooperation, records, recalls, defense, indemnification, reimbursement, reserves, and settlement obligations. Consumers are not parties to those agreements and retain any rights available under applicable law.
17. Privacy
The Privacy Policy explains collection, use, disclosure, cookies, advertising, AI-supported tools, and privacy choices and is incorporated into these Terms.
18. Informal Dispute Resolution
Before filing a claim, send a written description and requested resolution to service@pro-foru.com and allow 30 days for a good-faith response. This does not shorten a limitations period or require delay for urgent injunctive relief, a government complaint, or a claim that law permits to proceed immediately.
19. Binding Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS. Except for eligible small-claims matters, intellectual-property misuse, requests for urgent injunctive relief, and claims that applicable law does not permit to be arbitrated, any dispute arising from these Terms, the site, or a transaction will be resolved by individual binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this section.
Arbitration will be conducted by telephone, video, documents, or at a reasonably convenient location unless the arbitrator requires otherwise. PRO-FOR U will pay fees it is required to pay under the applicable rules. The arbitrator may award the same individual remedies a court could award, but may not combine claims or preside over a class, collective, consolidated, coordinated, or representative proceeding except to the extent applicable law requires otherwise.
YOU AND PRO-FOR U WAIVE A JURY TRIAL AND AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You may opt out of this arbitration section by emailing service@pro-foru.com within 30 days after your first affirmative acceptance of these Terms. The notice must state your name, order or account email, mailing address, and an unambiguous request to opt out. Opting out does not affect any other term or your ability to use the site.
Nothing in this Section waives any right to seek public injunctive relief where such a waiver is prohibited by applicable law. Any claim or requested relief that applicable law does not permit to be waived or required to proceed in arbitration may proceed in a court of competent jurisdiction, while arbitrable matters will proceed in arbitration to the fullest extent permitted by law. If the class-action waiver is finally held unenforceable for a particular claim or requested relief, that claim or relief will proceed in court after arbitrable matters are completed, unless applicable law requires otherwise. This arbitration section survives termination.
20. Governing Law and Court Venue
California law governs, without regard to conflict principles, and the Federal Arbitration Act governs arbitration. Mandatory consumer protections of a customer’s home jurisdiction remain applicable where they cannot be waived. For disputes not subject to arbitration, the parties consent to courts of competent jurisdiction in Ventura County, California, except where applicable law requires another forum or permits eligible small claims elsewhere.
21. Attorney Fees
Each party bears its own attorney fees unless a statute, rule, arbitration provision, or written agreement lawfully authorizes an award. Nothing in these Terms creates a broader prevailing-party fee right against a consumer than applicable law permits.
22. Force Majeure
To the extent permitted by law, PRO-FOR U is not liable for delay or failure caused by events beyond reasonable control, including disasters, severe weather, labor disruption, war, terrorism, epidemic, government action, carrier failure, supply interruption, utility failure, or cyber incident. This does not eliminate required shipment notices, cancellations, refunds, or non-waivable rights.
23. Changes, Severability, Assignment, and No Waiver
We may update these Terms prospectively. Material changes will be posted and communicated where required. If a provision is unenforceable, it will be limited or severed while the remainder remains effective. You may not assign your rights or obligations without consent; PRO-FOR U may assign these Terms in connection with a reorganization, financing, sale, or transfer of the relevant business, subject to law. Failure to enforce a provision is not a waiver.
24. Entire Agreement
These Terms, incorporated policies, checkout disclosures, and product-specific written terms form the entire agreement concerning the site and consumer transaction and supersede prior or contemporaneous statements on the same subject. A customer-service communication modifies these Terms only if issued by an authorized representative and expressly states the modification in writing.
25. Electronic Communications
You consent to receive records electronically where permitted. You may retain copies by printing or saving them. This consent does not replace any separate consent required for marketing texts, recurring charges, or other regulated communications.
