Welcome to PRO-FOR U CORP (“Company,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern your access to and use of our website, services, and any related content available at pro-foru.com (the “Site”).

By accessing or using the Site, placing an order, or participating in any program offered by us, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site.

1. Eligibility & Use of the Site

You represent that you are at least 18 years old and have the legal capacity to enter into binding agreements under applicable U.S. law.

You agree to use the Site only for lawful purposes and in accordance with these Terms.

We reserve the right to refuse service, suspend accounts, or cancel orders at our sole discretion where permitted by law.

2. Products & Services

We offer products sold directly through our Site, as well as products listed by authorized partners (“Authorized Listing Partners”).

Product descriptions, images, pricing, and availability are provided for informational purposes and may be updated or corrected at any time without notice.

We do not guarantee that product descriptions or other content are error-free, complete, or current.

3. Authorized Listing Partners

Certain products are supplied and fulfilled by Authorized Listing Partners.

Product quality, safety, compliance, certifications, intellectual property rights, patents, trademarks, and regulatory approvals are the sole responsibility of the Authorized Listing Partner.

PRO-FOR U CORP acts solely as a sales and listing service provider and does not assume manufacturer or product owner liability.

Any claims relating to product defects, regulatory non-compliance, or intellectual property infringement must be addressed to the responsible partner, subject to applicable law.

4. Pricing, Discounts & Fees

a. General Pricing

Displayed prices are subject to change without notice. Taxes, shipping, and handling fees may apply and will be calculated at checkout.

b. Education Program Discounts

Certain discounts are available exclusively through authorized education programs and require a valid education discount code at checkout.

Discounts are not transferable and may not be combined unless explicitly stated.

Orders placed without applying the code at checkout are not eligible for retroactive discounts.

Education discounts do not constitute commissions, referral fees, or incentive-based sales arrangements.

c. Platform & Payment Processing Fees

Orders are processed through Shopify. Applicable platform and payment processing fees (including, but not limited to Shopify transaction fees) are deducted prior to settlement with partners.

5. Education Support Program

Through our Education Support Program, a portion of qualifying sales may be allocated to support eligible U.S. education organizations.

Donations are made only to qualified organizations (e.g., schools, PTAs, foundations, or registered 501(c)(3) nonprofits).

Donations are not made to individuals.

Participation by schools or organizations does not influence purchasing decisions and does not require selling, promoting, or endorsing products.

6. Orders, Payment & Settlement

By placing an order, you authorize us (and our payment processors) to charge your selected payment method.

We reserve the right to cancel or refuse any order for reasons including, but not limited to, suspected fraud, pricing errors, inventory issues, or violation of these Terms.

Settlement with Authorized Listing Partners occurs on a periodic basis and may include reserves or holdbacks to account for returns, refunds, or chargebacks.

7. Returns, Refunds & Exchanges

Our return and refund practices are governed by our Refund Policy, which is incorporated into these Terms by reference.

Please review the Refund Policy carefully before making a purchase.

8. Loyalty Points Program

We may offer a loyalty points program from time to time.

Points have no cash value and are not legal tender.

Points may be redeemed only in accordance with the rules displayed on the Site at the time of redemption.

We reserve the right to modify, suspend, or terminate the points program at any time where permitted by law.

9. Intellectual Property

All content on the Site, including text, images, logos, graphics, and software, is owned by or licensed to PRO-FOR U CORP and is protected under U.S. and international intellectual property laws.

You may not copy, reproduce, distribute, modify, or exploit any content without our prior written consent.

10. User Conduct

You agree not to:

Violate any applicable law or regulation

Infringe intellectual property or privacy rights

Upload malicious code or interfere with Site security

Misrepresent eligibility for discounts or programs

We reserve the right to investigate and take appropriate legal action for violations.

11. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO-FOR U CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless PRO-FOR U CORP, its officers, directors, employees, and partners from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Site.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in California, unless otherwise required by applicable law.
